Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Yellow Umbrella Studios ("Yellow Umbrella", "we", "us" or "our"), publisher of mobile games on the Apple App Store and Google Play under the developer name Yonatan Goldshtein. They govern your access to and use of all of our games, including Watch Box, Car Box, Word Box, Categories, Sort the words!, Emoji Jam, Footy Games, PinPoints, Combinations, Wordoku and any other game we publish (each a "Game" and together the "Games"), together with our website and any related content, features and services (collectively, the "Services").

By downloading, installing, accessing or playing a Game you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not download or use the Games.

The Games are also subject to the terms of the app store from which you obtained them (the Apple Media Services Terms and Conditions or the Google Play Terms of Service). In the event of a conflict between these Terms and the applicable store terms regarding the store's own services, the store terms will prevail.

You must be at least 13 years old (or 16 in the European Economic Area and the United Kingdom, or the minimum age required in your country) to use the Games. If you are under the age of majority where you live, you may use the Games only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf and is responsible for your use of the Games, including any purchases.

By using the Games you represent that you meet these requirements, that you are not barred from using the Services under any applicable law, and that you have not previously been suspended or removed from the Services.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and play the Games on a mobile device that you own or control, solely for your personal, non-commercial entertainment.

The Games are licensed, not sold, to you. We and our licensors retain all right, title and interest in and to the Games, including all software, code, artwork, characters, sounds, music, text, game mechanics, names and logos. Nothing in these Terms transfers any ownership rights to you.

You agree that you will not, and will not allow or help anyone else to:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works of the Games, except to the extent applicable law expressly permits;
• Distribute, sell, rent, lease, lend, sublicense, publicly display or otherwise commercially exploit the Games or any part of them;
• Use cheats, exploits, automation software, bots, hacks, mods, emulators, modified or re-signed builds, or any unauthorized third-party software designed to modify or interfere with the Games or gain an unfair advantage;
• Manipulate your device clock, network connection or any other setting to obtain rewards, re-roll results, bypass timers or otherwise abuse the in-game economy;
• Manipulate the marketplace, leaderboards or referral program, including through collusion, multiple accounts, price manipulation or real-money trading;
• Bypass, remove or circumvent any technical protections, advertisements, in-app purchase requirements or content restrictions in the Games;
• Interfere with or disrupt the operation of the Games or the servers and networks used to make them available, including by transmitting viruses or malicious code, or by overloading them;
• Access data not intended for you, or attempt to probe, scan or test the vulnerability of any system or network;
• Use the Games in any way that is unlawful, fraudulent, harassing, abusive, defamatory, obscene, hateful or otherwise objectionable, or that infringes anyone's rights;
• Choose a display name, avatar or country that impersonates another person or Yellow Umbrella, infringes a trademark, or is offensive, hateful, sexual or otherwise inappropriate;
• Collect or harvest information about other players, or use the Games to send unsolicited communications; or
• Remove or alter any copyright, trademark or other proprietary notices in the Games.

We use server-side verification, device attestation and other technical measures to detect cheating and abuse. We may investigate suspected violations and take any action we deem appropriate, including removing content, resetting balances, scores or progress, removing you from leaderboards, revoking rewards or items, cancelling listings, suspending or terminating your access, and reporting to law enforcement.

When you first launch a Game, it may automatically create an anonymous player account for you so that your progress, virtual items and profile can be stored on our servers. Some Games let you protect that account by linking an email address and password. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately if you believe your account has been accessed without authorization.

You may not create or use more than one account per Game to gain an advantage, share or sell an account, or use anyone else's account. We may refuse, suspend, reset or remove an account, or remove it from leaderboards, at any time if we believe these Terms have been violated.

You may permanently delete your account from the Game's settings. Deletion is immediate and irreversible: all progress, virtual items, unspent virtual currency, active listings and profile data are erased and cannot be restored by us. Deleting the Game from your device does not delete your account. Where progress is saved only on your device, deleting the Game deletes that progress.

We are not responsible for the loss of progress, scores, virtual items or other data caused by deleting the Game or your account, changing or resetting a device, forgetting your credentials, a device failure, or any other event outside our reasonable control, and we are not obligated to restore lost progress.

Purchases

The Games are free to download. Some Games offer optional in-app purchases such as ad removal, hints, extra lives, coins, level packs, cosmetic items or subscriptions ("Virtual Items"). All purchases are processed by Apple or Google through your app store account, and are subject to the store's payment terms. Prices are shown in the store before you confirm the purchase and may vary by region. You are responsible for all charges, including applicable taxes, incurred under your store account, whether by you or by anyone else using your device.

Nature of Virtual Items

Virtual Items are licensed to you for use within the specific Game only. They have no monetary value, cannot be redeemed for real money or anything of value outside the Game, and cannot be transferred, sold, gifted or traded, except where a Game explicitly provides such a feature. You do not own Virtual Items; you receive a limited, revocable license to use them under these Terms. We may modify, rebalance, re-price, limit or discontinue Virtual Items at any time, including if a Game is discontinued, and we have no liability to you if we do so.

Boxes and randomized items

Some Games let you obtain "boxes", packs, spins or similar containers, using virtual currency or as a purchase, whose contents are determined randomly from a defined pool of items with differing rarity. Where required by applicable law or app store policy, information about the contents and the odds of receiving each category of item is made available in the Game before you obtain the box. Results are generated by our servers, are final, and cannot be re-rolled, exchanged or refunded because you did not receive the item you wanted. We may change the contents, odds and availability of boxes at any time.

In-game marketplace and trading

Some Games include a marketplace where players can list virtual items for sale to other players in exchange for virtual currency, sell items back to the Game, or combine items through trade-up features. The marketplace exists only inside the Game and operates only with virtual currency. We act as the operator of the marketplace and not as a party to trades between players. Listed items are held in escrow by our servers until sold or cancelled, and we do not guarantee that any item will sell or achieve any price. We may cancel or remove listings, adjust fees, limits or rules, or suspend the marketplace at any time, including to correct errors, prevent abuse or rebalance the economy. Selling, buying or trading virtual items or accounts for real money or anything of value outside the Game ("real-money trading") is strictly prohibited.

Chance-based mini-games

Some Games include mini-games whose outcome involves an element of chance, such as spin wheels, coin flips, mines-style boards or daily auctions against computer-controlled bidders. These mini-games use virtual currency and virtual items only. They cannot be played for real money, the results cannot be cashed out or exchanged for real money or anything of value outside the Game, and they are not gambling. Outcomes are generated by our servers and are final.

Rewarded ads and free rewards

Some Games let you earn virtual currency or items by watching rewarded ads, completing quests, claiming daily rewards, or reaching level and season milestones. Rewards are granted only after our servers verify that the qualifying action was genuinely completed. Rewards may be subject to daily caps, may vary over time, and may be withheld, reduced or reversed if we detect fraud, automation or abuse.

Subscriptions and passes

Some Games offer time-limited "passes" (for example a collector pass with free, premium and VIP reward tracks) that unlock additional rewards during a season. A pass applies only to the season for which it is purchased; unclaimed rewards are forfeited when the season ends.

If a Game offers a subscription, it will renew automatically at the end of each billing period at the price shown at the time of purchase unless you cancel at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your app store account settings (Settings → [your name] → Subscriptions on iOS, or Google Play → Menu → Subscriptions on Android). Deleting the Game does not cancel a subscription. Any free trial converts to a paid subscription unless cancelled before the trial ends.

Referral and promotional codes

Some Games offer referral codes that reward both you and a friend when the friend installs the Game and reaches a milestone, and promotional codes that grant virtual items. Referral rewards are available only for genuinely new players, self-referral and the use of multiple accounts are prohibited, and promotional codes may be limited in number, time or region. We may modify or end any referral or promotional program at any time and may revoke rewards obtained in breach of these rules.

Refunds

Purchases are final and non-refundable except as required by applicable law or by the refund policies of Apple or Google. Refund requests must be submitted to the app store from which you made the purchase, as we do not have access to your payment details and generally cannot issue refunds directly. Nothing in this section limits any statutory right of withdrawal or refund you may have as a consumer in your country.

Some Games rank players on leaderboards, run time-limited seasons with rewards for top ranks, and display public profiles showing a player's display name, avatar, country flag, rank and collection. By choosing a display name, avatar or country, or by listing items on the marketplace, you agree that this information will be visible to other players.

Season length, ranking rules and rewards are set by us and may change between seasons. Rewards are calculated by our servers when a season ends and must be claimed in the Game; unclaimed rewards may expire. We may remove or adjust any leaderboard entry, exclude players we reasonably believe have cheated, and correct rankings affected by bugs or exploits, and we are not liable for any resulting loss of rank or rewards.

The Games are supported by advertising, which may include banner, interstitial and rewarded video ads served by third-party advertising networks. By using a Game you agree to the display of such advertising. We are not responsible for the content of third-party ads or for any products or services advertised, and any dealings you have with advertisers are solely between you and the advertiser. Some Games may offer an in-app purchase to remove or reduce advertising; details of how ads are served and how you can limit personalized advertising are in our Privacy Policy.

Some Games may let you submit content such as a display name, avatar, score, bug report, suggestion or message ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable and sublicensable license to use, reproduce, display, modify and distribute it in connection with operating and promoting the Games. You are solely responsible for your User Content and represent that you have all rights needed to grant this license and that it does not violate these Terms or any law. We may remove any User Content at our discretion without notice.

If you send us ideas, suggestions or feedback about the Games ("Feedback"), you agree that we may use it freely and without any obligation or compensation to you.

The Games and all of their content are protected by copyright, trademark and other intellectual property laws of Israel and other countries. "Yellow Umbrella", the Game names and the associated logos are trademarks of Yellow Umbrella. You may not use them without our prior written permission. Third-party names and marks that appear in the Games belong to their respective owners and are used for identification only.

Some Games include trivia questions, images or other references to real-world subjects such as films, television, football, cars, or brands. Such references are used for informational, commentary and entertainment purposes and do not imply any affiliation with, endorsement by or sponsorship from the owners of those subjects.

If you believe that content in a Game infringes your copyright or other rights, please email admin@yellowumbrella-apps.com with a description of the work, the location of the allegedly infringing material, your contact details and a statement of good-faith belief. We will review and respond to valid notices promptly.

We may update, patch, modify or expand the Games at any time, including to add or remove features, levels, Virtual Items or advertising, to fix bugs, or to comply with app store requirements. Many aspects of the Games, including prices, rewards, offers, events, drop rates and the availability of features, are configured remotely by our servers and may change without an app update. Some updates may be required to continue playing, and an active internet connection is required for features that rely on our servers. We may also suspend or permanently discontinue any Game or feature, in whole or in part, at any time and for any reason, with or without notice. We will not be liable to you for any modification, suspension or discontinuation of a Game, including any loss of progress or Virtual Items, except as required by applicable law.

The Games rely on services provided by third parties, including app stores, advertising and analytics providers, purchase-management and backend hosting providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their availability, content or practices. The Games may also contain links to third-party websites or apps; we do not endorse and are not responsible for them.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GAMES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE GAMES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR COMPATIBLE WITH YOUR DEVICE, OR THAT ANY DEFECTS WILL BE CORRECTED. ANY TRIVIA, FACTS OR INFORMATION PRESENTED IN THE GAMES ARE PROVIDED FOR ENTERTAINMENT ONLY AND WE MAKE NO WARRANTY AS TO THEIR ACCURACY.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in these Terms affects any statutory consumer rights that cannot be excluded or limited by law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL YELLOW UMBRELLA, ITS OWNERS, EMPLOYEES, CONTRACTORS, LICENSORS OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, GAME PROGRESS OR VIRTUAL ITEMS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE GAMES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE GAMES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE GAME GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US$50).

These limitations do not apply to liability that cannot be limited under applicable law, such as liability for death or personal injury caused by negligence, fraud, or willful misconduct, and do not affect the statutory rights of consumers in the European Union, United Kingdom or elsewhere.

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Yellow Umbrella and its owners, employees, contractors and partners from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to (a) your violation of these Terms, (b) your User Content, (c) your violation of any law or the rights of any third party, or (d) your misuse of the Games.

These Terms remain in effect until terminated. You may terminate them at any time by deleting the Games from your devices. We may suspend or terminate your license and access to any or all Games at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue a Game.

Upon termination, your license ends immediately and you must stop using and delete the Games. Any Virtual Items associated with your use will be forfeited without refund, except where prohibited by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive.

These Terms and any dispute arising out of or relating to them or the Games are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. Subject to any mandatory consumer-protection law in your country of residence that gives you the right to bring proceedings in your local courts, you agree that the competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any such dispute.

Before filing a claim, you agree to first contact us at admin@yellowumbrella-apps.com and attempt in good faith to resolve the dispute informally for at least 30 days. If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

If you downloaded a Game from the Apple App Store, the following additional terms apply, as required by Apple:

1. Acknowledgement. These Terms are between you and Yellow Umbrella only, not with Apple Inc. ("Apple"). Yellow Umbrella, not Apple, is solely responsible for the Games and their content.
2. Scope of license. The license granted to you is limited to a non-transferable license to use the Game on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Game may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
3. Maintenance and support. Yellow Umbrella is solely responsible for providing any maintenance and support for the Games. Apple has no obligation whatsoever to furnish any maintenance or support services.
4. Warranty. In the event of any failure of a Game to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Game to you. To the maximum extent permitted by law, Apple will have no other warranty obligation, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Yellow Umbrella's sole responsibility.
5. Product claims. Yellow Umbrella, not Apple, is responsible for addressing any claims by you or any third party relating to the Games or your possession or use of them, including (i) product liability claims; (ii) any claim that the Game fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
6. Intellectual property claims. In the event of any third-party claim that a Game or your possession and use of it infringes that third party's intellectual property rights, Yellow Umbrella, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of such claim.
7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer contact. Questions, complaints or claims regarding the Games should be directed to Yellow Umbrella Studios at admin@yellowumbrella-apps.com.
9. Third-party terms. You must comply with applicable third-party terms of agreement when using the Games (for example, your wireless data service agreement).
10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

If you downloaded a Game from Google Play, you acknowledge that these Terms are between you and Yellow Umbrella only, and not with Google LLC ("Google"). Your use of Google Play is subject to the Google Play Terms of Service. Google is not responsible for the Games or their content, and is not a party to these Terms, but is a third-party beneficiary of them to the extent they concern your use of Google Play. Refunds for purchases made through Google Play are governed by Google Play's refund policy.

The Games may be subject to export control and sanctions laws of Israel, the United States and other jurisdictions. You agree to comply with all such laws and not to export, re-export or transfer the Games to any prohibited country, entity or person.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will provide reasonable notice, for example through an in-game message or a notice on our website. Your continued use of the Games after the revised Terms take effect means you accept them. If you do not agree to the revised Terms, you must stop using and delete the Games.

• Entire agreement. These Terms, together with the Privacy Policy and any game-specific rules we publish, constitute the entire agreement between you and Yellow Umbrella regarding the Games and supersede any prior agreements.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including to a successor in connection with a merger, acquisition or sale of assets.
• Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.
• Language. These Terms are written in English. Any translation is provided for convenience only; in case of conflict, the English version prevails.
• Headings. Section headings are for convenience only and have no legal effect.
